Terms of Service
Last updated: September 29, 2026
These Terms of Service ("Terms") are a contract between you and AI Dente, LLC, a Delaware limited liability company ("AI Dente," "we," "us," or "our"). They govern your use of Pianolyze, including the website at pianolyze.com, the web application, and any related features, content, and services (together, the "Service").
Please read these Terms carefully. Section 17 requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action. You can opt out of arbitration as described in Section 17.
By creating an account, uploading a file, buying a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, or under the age of majority where you live, your parent or legal guardian must review and agree to these Terms for you, and they are responsible for your use of the Service. You may not use the Service if you are barred from doing so under applicable law, or if we previously suspended or terminated your account.
If you use the Service on behalf of a school, business, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
2. Your account
You sign in with your email address and a one-time code. You are responsible for keeping access to your email account secure and for all activity under your Pianolyze account. Give us accurate information and keep it current. Tell us promptly at nick@pianolyze.com if you believe someone has accessed your account without permission.
We may refuse, suspend, or reclaim any account at our discretion, including to comply with law or to protect the Service or other users.
3. The Service
Pianolyze uses automated software, including machine learning models, to analyze audio recordings. Depending on your plan and the recording, the Service may separate instruments, transcribe notes, detect tempo, meter, key, and chords, produce MIDI files, and answer questions about the music.
Pre-release features. Parts of the Service are experimental, in preview, or labeled pre-release. They may change, stop working, or be removed at any time.
Changes. We may add, change, limit, or remove any part of the Service, including features, supported file types, plan allowances, and maximum recording lengths, at any time and without liability to you. We have no obligation to provide updates, support, or any particular feature.
Availability. We do not guarantee that the Service will be available, uninterrupted, timely, or error-free. Processing times vary and processing may fail.
4. Your content
Your content. "Your Content" means the audio files, file names, metadata, questions, prompts, and other material you submit to the Service. "Outputs" means the material the Service produces from Your Content, including separated audio, transcriptions, MIDI files, analysis data, and AI-generated answers.
Ownership. As between you and AI Dente, you keep whatever rights you have in Your Content. Subject to these Terms and to the rights of third parties, we assign to you any rights we may have in Outputs generated for you. Outputs may not be unique, and other users may receive similar Outputs. We make no representation that any Output is protectable by copyright or free of third-party rights.
License to us. You grant AI Dente and its service providers a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, store, copy, process, analyze, transmit, modify, create derivative works from, and otherwise use Your Content and Outputs to:
- operate, provide, secure, and support the Service;
- develop, test, and improve our products and services, including by training, evaluating, and tuning machine learning models; and
- comply with law and enforce these Terms.
The license in item 1 ends when you delete the relevant content from the Service, except for copies kept in backups, logs, or as required by law. The licenses in items 2 and 3 are perpetual and irrevocable. Deleting content does not require us to retrain, alter, or delete models, datasets, or aggregated or de-identified data that we created before the deletion.
Storage. We are not a backup service. You are responsible for keeping your own copies of Your Content and Outputs. We may delete Your Content and Outputs after your account ends, as described in our Privacy Policy.
5. Rights in the music you upload
Most recordings are protected by copyright and other rights held by songwriters, performers, labels, and publishers. Separated audio, transcriptions, and MIDI files made from a recording may be derivative works of it.
By uploading Your Content, you represent and warrant that:
- you own or have the necessary rights, licenses, and permissions to submit it and to grant the license in Section 4, or your use of it is otherwise permitted by law; and
- Your Content, your use of the Service, and your use of Outputs do not and will not violate any law or infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights.
The Service is a tool for private study, practice, teaching, and analysis. You alone decide what to upload and what to do with Outputs, and you are solely responsible for obtaining any rights needed to copy, perform, distribute, publish, sell, or otherwise use them. We do not review Your Content, but we may remove or disable access to any content at any time and for any reason.
6. Acceptable use
You will not, and will not help anyone else to:
- upload content you have no right to upload, or that is unlawful, harmful, or infringing;
- use the Service or Outputs to infringe anyone's rights, including by distributing separated audio or transcriptions of recordings you do not have rights to;
- access or use the Service by automated means, including bots, scrapers, or scripts, except through interfaces we expressly provide for that purpose;
- copy, reverse engineer, decompile, or try to extract the source code, models, weights, or training data of the Service, except where the law prohibits this restriction;
- use the Service or Outputs to develop, train, or improve a competing product or machine learning model;
- resell, sublicense, or provide the Service to third parties, or share accounts;
- get around plan limits, usage allowances, access controls, or security measures, including by creating multiple accounts to obtain additional free previews;
- interfere with or disrupt the Service or its infrastructure, or probe, scan, or test it for vulnerabilities without our written permission;
- upload malware or files designed to harm the Service or other users; or
- use the Service in violation of any applicable law, including export control and sanctions laws.
We may investigate and take any action we consider appropriate in response to a violation, including removing content, suspending or terminating accounts, and reporting to law enforcement.
7. AI features
Outputs are generated automatically and may be inaccurate, incomplete, or misleading. Transcriptions can contain missing, extra, or incorrect notes and timing. Instrument separation can leave traces of other instruments. Answers to questions can be wrong even when they sound confident.
You are responsible for evaluating Outputs before relying on them. Outputs are not professional, educational, legal, or other advice. AI features rely on third-party model providers, and we may change the models or providers at any time.
8. Plans, payments, and renewals
Plans. We offer a free preview, one-time purchases such as a Song Pass, and subscription plans. Each plan includes limits on the number of recordings you can analyze, the number of questions you can ask, and the maximum length of each recording, as described at the time of purchase. We may change plans, prices, and limits for future purchases and billing periods.
Payment. Payments are processed by Stripe, our payment processor, under its own terms. You authorize us and Stripe to charge your payment method for all fees you incur, plus any applicable taxes. Prices exclude taxes unless stated otherwise. You are responsible for all taxes other than those based on our net income.
Automatic renewal. Subscriptions renew automatically at the end of each billing period, at the then-current price, until you cancel. You authorize us to charge your payment method for each renewal without further notice, except as required by law. If we change the price of your subscription, we will notify you before the change applies. The new price takes effect at your next renewal, and you can cancel before then.
Cancellation. You can cancel your subscription at any time from your account page. Cancellation takes effect at the end of the current billing period. Your plan stays active until then and will not renew.
Allowances. Subscription allowances reset at the start of each billing period, and unused allowances do not roll over. Song Passes and the free preview do not expire while your account remains in good standing and the Service is available. A recording counts against your allowance when you submit it for analysis, and a question counts when you ask it, even if you are dissatisfied with the result. We may restore an allowance at our discretion if processing fails.
No refunds. All fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused allowances, or dissatisfaction with Outputs, except where required by law or where we decide otherwise at our sole discretion.
Failed payments. If a payment fails, we may suspend or downgrade your access until payment succeeds. If you dispute a charge with your bank or card issuer instead of contacting us, we may suspend or terminate your account.
9. Our intellectual property
The Service, including its software, models, design, text, graphics, and trademarks, is owned by AI Dente or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own use. We reserve all rights not expressly granted.
The Service includes open-source software, which is subject to its own licenses. See our Acknowledgements.
Feedback. If you send us ideas, suggestions, or other feedback, we may use them for any purpose without compensation or obligation to you.
10. Copyright complaints
We respect the rights of copyright owners and respond to notices of alleged infringement under the Digital Millennium Copyright Act ("DMCA").
Notices. If you believe material on the Service infringes your copyright, send a written notice to our designated agent that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim is infringed;
- identification of the material you claim is infringing, with enough information for us to locate it;
- your name, address, telephone number, and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
Counter-notices. If we remove your content in response to a notice and you believe the removal was a mistake or misidentification, you may send our agent a counter-notice that includes your physical or electronic signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; and your name, address, and telephone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or for Delaware, if you are outside the United States) and will accept service of process from the person who sent the original notice.
Designated agent. Copyright Agent, AI Dente, LLC, nick@pianolyze.com.
Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who repeatedly infringe copyrights.
11. Third-party services
The Service relies on and may link to services operated by third parties, such as payment processing, email, hosting, and AI model providers. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms.
12. Suspension and termination
You may stop using the Service at any time. To close your account, contact us at nick@pianolyze.com.
We may suspend or terminate your access to all or part of the Service at any time, for any reason or no reason, with or without notice, including if we believe you have violated these Terms or if we discontinue the Service. If we terminate your account without cause while you have an active paid subscription, we will refund the unused portion of your current billing period. Otherwise, termination does not entitle you to a refund.
When your account ends, your right to use the Service ends, and we may delete Your Content and Outputs. Sections 4, 5, and 7 through 20 (except the license granted to you in Section 9), and any other terms that by their nature should survive, survive termination.
13. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AI DENTE AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE "AI DENTE PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, THE AI DENTE PARTIES DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR THAT YOUR CONTENT WILL BE PRESERVED WITHOUT LOSS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- THE AI DENTE PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CONTENT, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
- THE AI DENTE PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS (US $50).
THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY REFLECT AN ALLOCATION OF RISK THAT IS AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND US. Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you.
15. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the AI Dente Parties from and against all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to Your Content, your use of Outputs, your use or misuse of the Service, your violation of these Terms, or your violation of any law or third-party right. We may assume the exclusive defense of any matter subject to indemnification, and you will cooperate with our defense. You will not settle any such matter without our prior written consent.
16. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of Section 17. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except for disputes that are arbitrated or brought in small claims court under Section 17, you and AI Dente agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waive any objection to venue there.
17. Dispute resolution and arbitration
Informal resolution first. Before starting an arbitration or court proceeding, you and we each agree to try to resolve the dispute informally. The party raising the dispute must send a written notice describing it and the relief requested. Notices to us go to nick@pianolyze.com; notices to you go to the email address on your account. If the dispute is not resolved within 60 days after the notice is received, either party may start a proceeding. Any limitations period is tolled during this 60-day period.
Binding arbitration. Except as described below, you and AI Dente agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including disputes about the scope, validity, or enforceability of this Section 17, will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The arbitrator may award the same individual relief a court could award but may not award relief to or against anyone who is not a party. Arbitration may be conducted by video conference or based on written submissions. Fees are allocated as provided in the AAA rules.
Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and stays there, and (b) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property.
Class action waiver. YOU AND AI DENTE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND AI DENTE WAIVE ANY RIGHT TO A JURY TRIAL.
Mass arbitration. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated counsel or entities, the demands will be administered in batches of up to 25, with one batch proceeding at a time, a single arbitrator for each batch, and one set of filing and administrative fees per batch. Later batches will not be filed or administered, and no fees will be owed on them, until the earlier batch is resolved. You and we agree to cooperate in good faith to implement this process, and a court may enforce it.
Opt-out. You may opt out of this arbitration agreement by emailing nick@pianolyze.com within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name and account email address. Opting out does not affect any other part of these Terms.
Severability. If the class action waiver is found unenforceable for any claim, that claim must be severed and brought in court under Section 16, and the rest of this Section 17 will still apply to all other claims. If any other part of this Section 17 is found unenforceable, the rest will remain in effect.
18. Changes to these Terms
We may update these Terms at any time. When we do, we will change the "Last updated" date above. If a change is material, we will give reasonable notice, such as by email or in the Service. Changes take effect when posted unless we say otherwise. By continuing to use the Service after changes take effect, you agree to the updated Terms. Changes to Section 17 will not apply to any dispute of which we had actual notice before the change.
19. General
Entire agreement. These Terms, together with our Privacy Policy and any terms presented to you at purchase, are the entire agreement between you and AI Dente about the Service and supersede any prior agreements.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
Electronic communications. You consent to receive communications from us electronically, and you agree that electronic notices, agreements, and disclosures satisfy any legal requirement that they be in writing.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party services.
No waiver; severability. Our failure to enforce any provision is not a waiver of it. Except as provided in Section 17, if any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
Export. You will comply with all applicable export control and sanctions laws in your use of the Service.
No recourse. These Terms are a contract only between you and AI Dente, LLC. To the fullest extent permitted by law, you agree to look solely to AI Dente, LLC, and not to any of its members, managers, officers, employees, contractors, or agents personally, for any claim, obligation, or liability arising out of or relating to these Terms or the Service, and you waive any claim against them personally, including any claim to disregard AI Dente, LLC's separate legal existence or to hold anyone else liable for its obligations. This section does not limit liability for a person's own fraud.
Relationship. No agency, partnership, joint venture, or employment relationship is created by these Terms. There are no third-party beneficiaries, except for the AI Dente Parties under Sections 13 through 15.
Headings. Section headings are for convenience only. "Including" means "including without limitation."
